Eligibility and Account Responsibility

User Requirements

You must be at least 18 years old and have the legal authority to enter into this agreement on behalf of yourself or the entity you represent.

Account Accuracy

You are responsible for:

Maintaining accurate account and billing information

Safeguarding login credentials

All activity occurring under your account


Scope of Use

Permitted Use

You may use ApexOutcomes services solely for lawful business purposes consistent with these Terms.

Prohibited Use

You may not:

Reverse engineer or misuse our software or systems

Interfere with service functionality or security

Use our services for unlawful, deceptive, or abusive purposes

Service Engagements and Deliverables

Service Nature

ApexOutcomes services may include ongoing subscriptions, project-based work, advisory support, or technical execution. Specific scopes, deliverables, timelines, and pricing may be defined in proposals, statements of work, or order forms.

Unless otherwise stated in writing, services are provided on a best-effort basis and do not guarantee specific business outcomes, revenue results, or performance metrics.


Fees, Billing, and Payments

Pricing and Billing

Fees are billed according to the pricing and payment schedule agreed upon at the time of purchase or engagement.

By providing payment information, you authorize ApexOutcomes to charge applicable fees in accordance with your selected services.

No Lock-In Commitment

ApexOutcomes does not impose long-term contractual lock-ins. Clients may cancel services at any time by providing written notice, subject to the cancellation terms below.


Cancellation and Termination

Client-Initiated Cancellation

To cancel services, clients must provide written notice of cancellation.

If cancellation notice is received before the next payment is processed, services will be halted at the end of the current paid period.

If a payment has already been processed before written cancellation is received, services will continue through that paid billing cycle and will be cancelled prior to the following payment.

No additional charges will be incurred after the final payment associated with the cancellation request.

No Retroactive Refunds

Payments already processed are non-refundable unless otherwise required by law or expressly agreed to in writing.


Web Hosting and Managed Services

Hosting Responsibility

For web hosting or managed infrastructure services, ApexOutcomes may rely on third-party providers. While we take reasonable steps to maintain service reliability, uptime and availability are subject to external dependencies.

Clients are responsible for maintaining backups of critical data unless otherwise stated in writing.


Intellectual Property

Our Intellectual Property

All software, methodologies, templates, processes, branding, and content provided by ApexOutcomes remain our intellectual property unless explicitly transferred in writing.

Client Materials

Clients retain ownership of content, data, and materials they provide. By engaging our services, you grant ApexOutcomes a limited license to use such materials solely to perform agreed-upon services.


Confidentiality

Mutual Confidentiality

Both parties agree to maintain the confidentiality of non-public business, technical, or proprietary information exchanged during the course of services, except where disclosure is required by law.


Disclaimers

No Guaranteed Outcomes

ApexOutcomes provides tools, services, and support designed to improve business efficiency and presence; however, we do not guarantee specific results, revenue increases, rankings, or performance outcomes.

Services are provided “as is” and “as available,” to the fullest extent permitted by law.


Limitation of Liability

To the maximum extent permitted by law, ApexOutcomes shall not be liable for indirect, incidental, consequential, or special damages, including loss of profits, data, or business opportunities.

Our total liability for any claim shall not exceed the amount paid by the client to ApexOutcomes during the three (3) months preceding the claim.


Indemnification

You agree to indemnify and hold harmless ApexOutcomes from any claims, damages, losses, or expenses arising from your misuse of services, violation of these Terms, or infringement of third-party rights.


Modifications to Terms

We may update these Terms from time to time. Material changes will be communicated through the website or by reasonable notice. Continued use of services after updates constitutes acceptance of the revised Terms.


Governing Law

These Terms are governed by and construed in accordance with the laws of the applicable jurisdiction of Phoenix, Arizona, in which ApexOutcomes operates, without regard to conflict-of-law principles.
